1. Nature of Services and Platform Role

"Used Oil India" is a brand and technology platform owned and operated by NexG Petrolube Private Limited. The Platform is operated, managed, and controlled exclusively by NexG Petrolube Private Limited, and no separate legal entity exists under the name "Used Oil India".

This platform provides a technology-enabled digital platform to facilitate the responsible management, collection, transport coordination, traceability, and documentation of used oil, used lubricants, and related waste fluids. The Platform enables coordination, tracking, and administrative support among oil and lubricant contributors, collection agents, logistics partners, and authorised recyclers. Title to used oil never transfers to UOI.

Unless expressly agreed in writing, UOI does not itself generate, store, transport, recycle, refine, or physically handle used oil, used lubricants, or related materials. All such activities are undertaken by independent third parties operating under their own statutory licences, permits, and regulatory approvals. UOI is not responsible for actions, omissions, compliance, defaults, or liabilities of such third parties.

Scope

These Terms apply to all access and use of the Platform, including the website, mobile applications, and other digital interfaces operated by UOI. Use of the App is subject to these Terms and the rules of the relevant app store (Google Play, Apple App Store).

2. No Agency, Partnership or Trust Relationship

Nothing herein shall create a relationship between NexG Petrolube Private Limited (operating the Used Oil India Platform) or in these Terms shall be deemed to create, imply, or constitute any agency, partnership, joint venture, trust, escrow, fiduciary, employment, representative, or similar relationship between NexG Petrolube Private Limited (operating the Used Oil India Platform) and any user, participant, or third party. All users access and use the Platform as independent entities acting in their own capacity, on their own behalf, and at their own commercial and regulatory risk.

No user shall have any authority to bind, represent, assume obligations for, or create liabilities on behalf of UOI, whether expressly or by implication, and UOI shall not be responsible for any acts, omissions, representations, warranties, or commitments made by users or third parties.

3. User Compliance Obligations

Each user represents, warrants, and undertakes that it holds, and shall continue to hold, all licences, registrations, consents, permissions, authorisations, and approvals required under applicable environmental, pollution control, municipal, transport, labour, tax, and other statutory laws for carrying out its activities relating to used oil, used lubricants, and associated materials.

Used Oil India does not independently verify, audit, certify, or guarantee the legal, environmental, or regulatory compliance of any user or third party. Any non-compliance, breach, violation, penalty, prosecution, or regulatory action arising from a user's activities shall be the sole responsibility of such user, and shall not create any liability, obligation, or exposure for UOI.

4. Wallet System and Recycler Advances

Recycler advances are received into the bank account of NexG Petrolube Private Limited and reflected as prepaid wallet balances within the Platform. Wallet balances represent advance consideration for an ongoing business cycle and do not constitute deposits, escrow funds, trust property, or interest-bearing instruments.

UOI does not earn interest or benefit on wallet balances. With each completed transaction and receipt of used oil by the recycler, the equivalent amount is deducted from the recycler's wallet.

5. Payments to Contributors and Collection Agents

Contributors and duly contracted collection agents may be provided access to a digital wallet or ledger facility on the Platform solely for the purpose of recording transaction credits arising from completed and verified activities. Any credit reflected in such wallet or ledger is provisional and subject to verification, reconciliation, and confirmation by NexG Petrolube Private Limited through this platform.

Release of credits and processing of withdrawals shall occur only upon successful completion of the relevant transaction, submission and verification of required documentation, confirmation of quantities and compliance parameters, and completion of internal checks. Withdrawals, where permitted, shall be processed through NEFT or such other banking channels as may be determined by NexG Petrolube Private Limited from time to time.

NexG Petrolube Private Limited through its platform reserves the absolute right, without incurring any liability, to delay, withhold, suspend, adjust, set-off, reverse, or cancel any payment or wallet balance in the event of disputes, data or quantity mismatches, missing, defective, or inconsistent documentation, suspected fraud, regulatory or compliance gaps, adverse audit findings, system or technical issues, instructions from statutory or banking authorities, or where such action is reasonably required to protect legal, regulatory, or commercial interests of NexG Petrolube Private Limited. Users acknowledge that wallet balances do not constitute deposits, escrow, trust property, or guaranteed entitlements, and that UOI shall not be liable for any consequential loss, interest, or damages arising from payment delays or adjustments undertaken in accordance with these Terms.

6. Refunds and Cancellation

Refund of unused or unutilised wallet balances may be considered by the NexG Petrolube Private Ltd. through its platform upon receipt of a written request from the concerned user, including in circumstances where a recycler or counterparty suspends or pauses operations. Any such refund shall be subject to the stage of the underlying transaction, completion status, submission and verification of requisite documentation, reconciliation of accounts, and internal approval processes of UOI.

UOI acts solely as a technology and payment facilitation platform and does not assume responsibility for commercial settlements, adjustments, or refund obligations arising between users, contributors, collection agents, recyclers, or other third parties. Except to the limited extent expressly stated herein, UOI shall bear no liability for refund claims, settlement disputes, or cancellations arising from third-party actions, operational disruptions, or contractual arrangements between users.

7. Fees and Advertisement Services

Used Oil India may levy platform usage fees, transaction fees, subscription charges, listing fees, and advertisement or promotional service fees, in such amounts and on such terms as may be determined by UOI from time to time and communicated through the Platform or separate written arrangements.

Advertisement and promotional services are entirely optional, subject to prior approval by UOI, and may be modified, suspended, or discontinued at UOI's discretion. UOI does not guarantee visibility, reach, commercial outcomes, or business results arising from any advertisement or promotional service.

Any revision of fees shall apply prospectively from the date of implementation unless expressly stated otherwise. Continued use of the Platform after such revision constitutes acceptance of the revised fee structure. Fees once paid are non-refundable unless expressly agreed in writing or required by law.

8. Dispute Handling and Payment Finality

Used Oil India may, at its sole discretion, determine the timing of payment releases, transaction settlement, or closure of records on the Platform in accordance with its operational rules, internal reconciliation procedures, and compliance checks.

UOI does not arbitrate, adjudicate, or guarantee ownership, quantity, quality, environmental compliance, regulatory standing, or any contractual obligations of users, recyclers, collection agents, or other third parties. Users acknowledge and agree that UOI's operational determinations, including transaction closure or wallet adjustments, shall be final and binding for the purposes of Platform administration, without creating any waiver, liability, or commercial obligation on the part of UOI beyond its role as a facilitator.

9. Technology, Downtime, and Force Majeure Events

The Platform is provided on an "as-is" and "as-available" basis. Used Oil India ("UOI") does not warrant uninterrupted access, error-free operation, or continuous availability of the Platform. Users acknowledge that temporary downtime, delays, interruptions, system maintenance, cyber incidents, network failures, or other technical issues may occur despite reasonable precautions.

UOI shall not be liable for any inconvenience, loss, damages, or notional loss, direct, indirect, consequential, or incidental, arising from downtime, cyber incidents, technical failures, system or infrastructure issues, acts of God, force majeure events, governmental or regulatory interventions, or other circumstances beyond UOI's reasonable control.

App Updates & Versioning

Users are responsible for keeping the App updated. UOI shall not be liable for any loss, disruption, or reduced functionality arising from the use of outdated versions of the App.

Device & OS Limitations

The App may function differently depending on the user's device, operating system, or network environment. UOI does not guarantee full functionality on all devices or operating systems.

Push Notifications & Operational Alerts

Push notifications or alerts sent via the App are for operational, transactional, and compliance purposes only. Users may opt out of non-essential notifications

10. Waiver and Limitation of Liability and Indemnity

Users expressly waive all claims, demands, or actions against Used Oil India arising from delays, disputes, disagreements, or failures between users, contributors, collection agents, recyclers, or other third parties, except to the extent resulting from UOI's wilful misconduct or gross negligence.

UOI shall not be liable for any indirect, incidental, consequential, punitive, special, or exemplary damages, including but not limited to loss of profits, business, goodwill, anticipated savings, or environmental penalties, arising out of or in connection with the use of the Platform.

Users agree to indemnify, defend, and hold harmless NexG Petrolube Private Ltd and its directors, officers, employees, affiliates, and agents from and against all claims, demands, actions, losses, damages, penalties, liabilities, costs, or expenses (including legal fees) arising from or in connection with:

  1. User's acts, omissions, misrepresentations, or breach of these Terms;
  2. Violation of applicable environmental, transport, pollution control, labour, tax, or other statutory laws;
  3. Disputes, claims, or defaults involving other users, recyclers, collection agents, or third parties;
  4. Any fraudulent, negligent, or unlawful activity by the user.

Users acknowledge that this indemnity is independent of any limitations of liability and survives the termination or expiry of the user's account or access to the Platform.

11. Governing Law and Jurisdiction

These Terms and Conditions, and any disputes, claims, or proceedings arising out of or in connection with or involving NexG Petrolube Private Limited (operating the Used Oil India Platform), shall be governed by and construed in accordance with the laws of India.

The parties irrevocably agree that the courts at Kolkata, West Bengal, India shall have exclusive jurisdiction to adjudicate any dispute, claim, or proceedings arising from or relating to these Terms, the Platform, or any transactions conducted through it.
